Terms & Conditions

These terms govern your use of the Modern PPC website and, where they apply, the marketing services we provide. Please read them before using this site or engaging us.

1. Agreement to these terms

By accessing or using this website, you agree to these Terms & Conditions. If you do not agree, please do not use the site. If you engage Modern PPC for services, the specific proposal or service agreement we provide to you will also apply; where the two conflict, the signed service agreement controls.

2. About us

Modern PPC is a marketing agency based in Wyoming, United States, that provides paid advertising management, local SEO, website design, CRM implementation, AI call answering, review management, and lead follow-up services to plumbing companies. We serve plumbing companies across the United States.

3. Use of this website

This website is provided for general information about our services. You agree to use it lawfully and not to:

  • Attempt to gain unauthorised access to the site or its underlying systems;
  • Interfere with the operation of the site, including by introducing malicious code or placing unreasonable load on our infrastructure;
  • Scrape, copy, or republish the site's content for a competing commercial purpose; or
  • Use the site in any way that is fraudulent, misleading, or unlawful.

4. No guarantee of results

Marketing outcomes depend on many factors outside our control, including your market, your pricing, your capacity to answer and service the demand we generate, your reviews and reputation, competitor activity, and changes to advertising platforms. We do not guarantee any specific number of leads, cost per lead, ranking position, revenue, or return on ad spend. Any figures, benchmarks, or examples shown on this website are illustrative and are not a promise of your results.

5. Services, fees, and payment

Our services are provided under a separate proposal or service agreement that sets out scope, deliverables, fees, and the term. The following applies unless your agreement says otherwise:

  • Management fees are billed monthly in advance and setup fees are billed at the start of the engagement;
  • Advertising spend is separate and is paid by you directly to the advertising platforms such as Google and Meta. It is not included in our fees;
  • Where a package includes an allowance of managed ad spend, a management fee applies only to the portion of spend above the applicable threshold, as described on our pricing page;
  • Invoices are due on the date stated on the invoice. We may pause work on accounts that fall into arrears; and
  • Fees are exclusive of any applicable taxes, which will be added where required.

6. Term and cancellation

The initial term and any minimum commitment are set out in your service agreement. Unless your agreement states otherwise, either party may cancel after the initial term by giving 30 days' written notice. Fees already paid for services delivered are non-refundable. Advertising spend already committed to a platform is governed by that platform's terms and is generally not recoverable.

7. Your responsibilities

To let us do our job, you agree to:

  • Provide timely access to the accounts, platforms, and information we need, including admin access to advertising, analytics, and business profile accounts;
  • Respond to leads we generate promptly, and ensure your team can answer and service the demand;
  • Ensure that any content, claims, offers, testimonials, or credentials you provide are accurate and lawful, and that you hold the necessary licences for the work you advertise; and
  • Comply with the terms of the advertising platforms connected to your account.

8. Intellectual property

All content on this website — including text, design, graphics, and code — is owned by Modern PPC or its licensors and is protected by intellectual property law. You may not reproduce or redistribute it without our written permission.

For client engagements, unless your service agreement says otherwise: you own the materials and content we create specifically for you and pay for, such as your website content and creative assets; you retain ownership of your own accounts, data, and ad campaigns; and we retain ownership of our own methodologies, frameworks, templates, and internal tooling, together with the right to describe the engagement in general terms.

9. Third-party platforms

We manage campaigns and tools on platforms operated by third parties, including Google, Meta, and the providers of the CRM and communication software used in your account. Your use of those platforms is governed by their own terms and policies, not ours. We are not responsible for outages, policy decisions, account suspensions, algorithm changes, or pricing changes made by those providers.

10. Confidentiality

Each party will keep the other's confidential information private and use it only for the purposes of the engagement. This does not apply to information that is public, that the receiving party already had, or that must be disclosed by law.

11. Limitation of liability

To the fullest extent permitted by law, Modern PPC is not liable for indirect, incidental, special, or consequential losses, or for lost profits, lost revenue, lost data, or lost business opportunity, however arising. Our total aggregate liability arising out of or relating to the services is limited to the management fees you paid to us in the three months preceding the event giving rise to the claim.

Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including for fraud or fraudulent misrepresentation.

12. Indemnity

You agree to indemnify Modern PPC against claims, losses, and reasonable costs arising from content, claims, or materials you supply to us, from your products or services, or from your breach of these terms or of a third-party platform's terms.

13. Termination

Either party may terminate the engagement immediately if the other materially breaches the agreement and does not remedy the breach within a reasonable period after written notice. On termination, you remain responsible for fees for services delivered and for advertising spend already committed.

14. Governing law

These terms are governed by the laws of the United States and the State of Wyoming, without regard to conflict-of-law rules. The state and federal courts located in Wyoming have exclusive jurisdiction over any dispute arising from these terms or your use of this website.

15. Changes to these terms

We may update these terms from time to time. The version published on this page at the time of your visit is the version that applies. Continued use of the website after a change means you accept the updated terms.
